The transaction, which has been approved by the boards of directors of both companies, is expected to close in the middle of 2021, subject to the receipt of required regulatory approvals.

Under the terms of the agreement, Flir stockholders will receive US$28.00 per share in cash and 0.0718 shares of Teledyne common stock for each Flir share, which implies a total purchase price of US$56.00 per Flir share based on Teledyne’s 5-day volume weighted average price as of December 31, 2020. The transaction reflects a 40% premium for Flir stockholders based on Flir’s 30-day volume weighted average price as of December 31, 2020.

As part of the transaction, Teledyne has arranged a US$4.5 billion 364-day credit commitment to fund the transaction and refinance certain existing debt. Teledyne expects to fund the transaction with permanent financing prior to closing. Net leverage at closing is expected to be approximately 4.0x adjusted pro forma EBITDA with leverage declining to less than 3.0x by the end of 2022.

Teledyne expects the acquisition to be immediately accretive to earnings, excluding transaction costs and intangible asset amortisation, and accretive to GAAP earnings in the first full calendar year following the acquisition.

“At the core of both our companies is proprietary sensor technologies. The manufacturer states that a precisely definable and adaptable process enables users to evaluate and follow up on incidents with digital tools – while adhering to the evaluation and data protection regulations. In addition to this, with the Dallmeier Hemisphere Traffic Enforcement Module, local authorities now have the capability to capture traffic violations and file video sequences of the offences efficiently within existing surveillance systems.

The solution reportedly enables operators to perform these tasks quickly and intuitively, allowing local authorities to optimise the process of investigating and punishing traffic violations. Users can implement the system with both Dallmeier cameras or with third-party systems. The Hemisphere SeMSy components can be operated either on premises or in public cloud environments such as Microsoft Azure, Amazon Web Services (AWS) or Google Cloud Platform.

If an operator observes a traffic offence, they can start recording the camera live stream immediately. For this purpose, the app features a control centre on a time bar for starting, stopping and cancelling recordings. After a recording has been stopped again, a backup is made automatically and saved to an archive together with a timestamp, the name of the camera and the name of the operator. Recordings can be cancelled if an offence has not taken place. For this, the operator must provide a reason either from a dropdown list or in free text. Depending on the requirements applied to a system, selection options with subsequent text input fields can be configured individually. At the same time, all user actions are logged in full.

Besides the actual recording and saving routines, the system also maps the process for follow-up processing of incidents. First, all recorded offences are listed in the module in a chronological overview. Users can filter and search the list by ID, user, violation code, camera name, vehicle registration number, date and time and processing status. In a processing mode, they can review the items and decide whether a traffic offence has been committed and should be reported. For this purpose, they are then able to access the recording or the offence, additional information or snapshots from the recording, and the exact location of the incident on a map section.

If an item is not processed further, because it is evident that an offence has not taken place, this must be confirmed with a predefined justification. All offences which are reported must be collected in detail in a log for subsequent investigation and review. The list can be filtered by data and exported to a PDF file.

“Many towns implement video observation systems at busy traffic junctions. With our solution, these systems are given very valuable additional benefits, whereby besides improving safety they also help to relieve the strain on municipal budgets,” stated Dieter Dallmeier, Founder and CEO, Dallmeier electronic. “The Dallmeier solution enables the operators to secure evidence for traffic offences intuitively and with maximum efficiency with very low training costs. The guidance is for forces to follow when considering the deployment of Live Facial Recognition (LFR) surveillance camera technology.

It is the first guidance to be released since the Court of Appeal handed down its judgment on Bridges v South Wales Police earlier this year – the SCC was an intervener in the case and a key contributor. The High Court ruled that South Wales Police’s use of LFR was in accordance with the law, but this was later overturned by the Court of Appeal.

The SCC is the independent regulator of the overt use and public operation of surveillance camera systems, including systems that incorporate LFR, by the police in England and Wales. The SCC supports the police having legitimate recourse to surveillance camera systems including LFR where they are necessary to keep us safe and secure, within the clear provisions of the law. Transparency of lawful use is essential to public trust and confidence in such matters.

“Over the seven years I have been Commissioner I have continually said that the police should be able to use technology to keep us safe and secure but this must be balanced against our civil liberties and the law,” stated Porter. “The High Court ruled that South Wales Police’s use of LFR was in accordance with the law, but this was later overturned by the Court of Appeal. It states that the versatility of the platform combined with hardware such as the new M73 and S74 camera systems with three and four sensor modules per camera can set new Mobotix standards in terms of image quality, performance and efficiency.

Artificial intelligence and deep learning processes are drivers of the Mobotix7 video solution platform. The video analysis apps reportedly provide users with intelligent and cost-effective tools to cover relevant and current requirements. The platform is open for self-developed apps from Mobotix partners and customers which means that new solutions are constantly being created to meet even the most innovative requirements.

In the pandemic context, Mobotix video systems provided effective hardware and software applications which help keep life as normal as possible. For example, anomalies in body temperature can be detected so that the people concerned can undergo medical examinations. Thermal solutions are already being used, for example, by hospital visitors or hotel guests. While intelligent systems can also detect the wearing of mouth and nose protection. In retail stores or ski resorts, automatic announcements can be triggered if the Mobotix camera detects people without masks.
